1. Acceptance of these Terms

These Terms of Service (“Terms”) are a binding agreement between you and Closr. They apply when you visit closr.run, create an account, list or sell a product, generate or use a checkout link, purchase a product, receive customer access, or otherwise use the Closr platform and related services.

By using Closr, you agree to these Terms and acknowledge the Privacy Policy. If you use Closr for a company or other organization, you represent that you have authority to bind that organization. If you do not agree, do not use Closr.

2. Eligibility and accounts

  • You must be at least 18 years old and legally able to enter into a contract.
  • You must provide accurate, current, and complete information and keep it updated.
  • You are responsible for your account credentials and all activity performed through your account. Notify us promptly if you suspect unauthorized access.
  • You may not create an account for a person or entity without authority, impersonate another person, or use false or misleading profile information.
  • Closr may review, approve, reject, suspend, or revoke a sales rep account to protect marketplace quality and safety.

3. Marketplace roles and responsibilities

Closr

Closr provides marketplace, attribution, checkout, sales review, customer access, commission, payout, and integration tools. Unless expressly stated otherwise, Closr is not the creator, owner, publisher, employer, agent, or reseller of a business product and does not control the quality, legality, accuracy, or delivery of that product.

Businesses

Each business is responsible for its products, listing claims, price, customer terms, required licenses, taxes, customer support, refunds, subscription disclosures, privacy practices, and timely fulfillment. A business must honor valid purchases and provide the access promised in its listing.

Closrs

Sales reps act as independent contractors, not employees, partners, or legal agents of Closr or a business. Reps choose which products to promote and are responsible for truthful marketing, required advertising disclosures, lawful outreach, taxes, expenses, and compliance with anti spam, consumer protection, and other applicable laws.

Customers

Customers must provide accurate checkout information, use purchased access only as authorized, and contact the relevant business for product specific support. Closr may provide a customer portal and access communications but the business remains responsible for its product.

4. Payments, platform fees, and Stripe

Customer payments are processed through Stripe. Use of Stripe services is also subject to the applicable Stripe terms. Businesses and reps using Stripe Connect authorize Closr and Stripe to create or connect accounts, exchange required account and transaction data, conduct the activities described in these Terms, and deduct or route fees, transfers, refunds, disputes, and reversals as configured.

A business sets the total commission offer for each product. Closr currently retains 10 percentage points of that offer and the rep receives the remainder. For example, on a 100 dollar sale with a 50 percent offer, the business receives 50 dollars, the rep earns 40 dollars, and Closr earns 10 dollars, before any separately disclosed taxes or payment processing adjustments. Current pricing is shown on the Pricing page and in the product flow.

We may change fees prospectively by updating the Pricing page or providing notice. A new fee does not change a completed transaction. Payment timing can be affected by Stripe, banks, identity verification, reserves, disputes, sanctions screening, outages, and other factors outside Closr’s control.

5. Commissions, reviews, holds, and payouts

  • A rep earns a commission only on a real, successfully paid sale that is correctly attributed to the rep and not fraudulent, duplicated, refunded, disputed, reversed, or otherwise invalid.
  • Sales may be reviewed by the business or Closr. A recorded or pending sale is not a promise of payment.
  • Closr may apply a payout hold to allow time for fulfillment, refunds, risk checks, and disputes.
  • Eligible commissions may be paid through Stripe Connect, PayPal, Cash App, or wire transfer, depending on availability and successful completion of required setup.
  • Refunds, chargebacks, disputes, reversals, account deficits, errors, or violations may cancel a commission or require recovery, offset, or reversal of previously transferred amounts where permitted by law.
  • Users are responsible for taxes, reporting obligations, fees charged by their payout provider, and accurate payout destination information.

6. Customer purchases, access, subscriptions, and refunds

A customer does not need a Closr account before purchasing. After a successful payment, Closr may create a customer account from the checkout email and send an activation link. Depending on the product, access may be delivered automatically, supplied as a code or file, or fulfilled manually by the business.

Product descriptions, access duration, subscription intervals, cancellation terms, refund rights, and business support details shown at purchase form part of the customer’s transaction with the business. Statutory consumer rights that cannot legally be waived remain unaffected.

If payment is refunded, disputed, reversed, canceled, or no longer active, product access may be suspended or revoked. For product quality, fulfillment, cancellation, or refund questions, contact the business using the support details in the customer portal. Closr may assist with access issues but does not guarantee a particular resolution.

7. Acceptable use

You may not use Closr to:

  • violate law, payment network rules, sanctions, export restrictions, or another person’s rights;
  • sell or promote illegal, deceptive, infringing, unsafe, counterfeit, or restricted products;
  • make false earnings, performance, scarcity, affiliation, testimonial, or product claims;
  • send unlawful spam, scrape personal data, harass people, or use purchased or unauthorized contact lists;
  • fabricate sales, manipulate attribution, share codes deceptively, evade fees, submit your own sham purchase, or interfere with review and refund controls;
  • probe, disrupt, overload, reverse engineer, bypass access controls, upload malware, or gain unauthorized access to Closr or another account; or
  • use automated means to access the service except through an expressly authorized API.

8. Content, intellectual property, and AI features

You retain ownership of content you submit. You grant Closr a worldwide, nonexclusive, royalty free license to host, reproduce, adapt, display, distribute, and otherwise use that content as needed to operate, secure, promote, and improve the service. You represent that you have all rights needed to submit the content and grant this license.

Closr and its software, design, marks, and platform content are owned by Closr or its licensors. Except for the limited right to use the service under these Terms, no intellectual property right is transferred to you.

AI features may generate incomplete, inaccurate, biased, or unsuitable output. You are responsible for reviewing and editing output before publishing or relying on it, confirming claims and legal compliance, and ensuring that it does not infringe rights or mislead customers. AI output is not legal, tax, financial, or professional advice.

9. Suspension and termination

You may stop using Closr at any time. Contact us if you want to close an account. Closr may limit, suspend, or terminate access; remove content; hold or reverse transactions; or take other reasonable protective action if we believe there is fraud, risk, unlawful conduct, nonpayment, a Terms violation, harm to users, or a legal or payment provider requirement.

Termination does not eliminate rights or obligations arising before termination. Provisions that by their nature should survive will survive. These include payment, ownership, confidentiality, disclaimers, liability limits, indemnity, dispute, and record retention provisions.

10. Disclaimers, liability, and indemnity

To the maximum extent permitted by law, Closr is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, title, noninfringement, and uninterrupted or error free operation. We do not guarantee sales, earnings, rep performance, product quality, customer payment, fulfillment, payout timing, or any specific business result.

To the maximum extent permitted by law, Closr and its officers, employees, contractors, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; loss of profit, revenue, opportunity, data, goodwill, or business; or conduct of another user or third party. Closr’s aggregate liability arising from the service will not exceed the greater of 100 US dollars or the fees you paid directly to Closr during the 12 months before the event giving rise to the claim.

Some jurisdictions do not allow certain exclusions or limits, so those provisions apply only to the extent permitted. Nothing in these Terms excludes liability or rights that cannot legally be excluded.

You agree to defend, indemnify, and hold Closr harmless from claims, losses, liabilities, damages, and reasonable costs arising from your products, marketing, fulfillment, content, tax obligations, infringement, unlawful conduct, or violation of these Terms or another person’s rights.

11. General terms

These Terms, the Privacy Policy, the Pricing page, and any product or feature specific terms form the entire agreement between you and Closr about the service. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue.

You may not assign these Terms without our consent. Closr may assign them as part of a merger, financing, restructuring, acquisition, or sale of the platform. A failure to enforce a provision is not a waiver. Headings are for convenience only.

Applicable law governs these Terms without overriding mandatory rights that apply where you live. Before filing a formal claim, please contact us and provide a reasonable opportunity to resolve the issue. Any dispute that cannot be resolved informally may be brought before a court with lawful jurisdiction.

We may update these Terms prospectively. We will post the revised Terms and update the date above. If a material change affects existing users, we will provide additional notice where required. Continued use after the effective date of revised Terms means you accept them.

12. Contact

Questions about these Terms may be sent through the Closr contact page. Select Partnerships for business questions or Support for account, payment, or customer access questions.
